These Terms and Conditions (“Terms”) govern your access to and use of the websites, apps, streaming services, community platforms, and any other online products or services operated by Proud American Studios LLC (“Proud American Studios,” “PAS,” “we,” “us,” or “our”) that link to these Terms (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy and other referenced policies. If you do not agree, do not access or use the Services.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility. You must be at least 18 years old and capable of entering into a binding contract to use paid memberships, submit projects, or participate in the community. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian and only where allowed by law.

3.2 Account Creation. To access certain features (such as paid content, the community, or submissions), you may need to create an account and provide accurate, current information. You agree to update your information as needed to keep it accurate and complete.

3.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly if you suspect unauthorized access or use of your account.

3.4 Our Right to Suspend or Terminate. We may, in our sole discretion and without notice, suspend, restrict, or terminate your access to the Services or your account if we believe you have violated these Terms, any applicable law, or any other policy referenced here.

4. THE SERVICES

4.1 Scope of Services. The Services may include, without limitation:

• Streaming and on‑demand access to video content (including micro‑series, films, and documentaries).

• Live or recorded programs, podcasts, and events.

• A members‑only community, forums, comments, and messaging features.

• Courses, challenges, and training materials.

We may add, modify, or remove features or content at any time, without obligation to you.

4.2 No Guarantee of Availability. We do not guarantee that the Services, or any content within them, will always be available, uninterrupted, or error‑free. We may suspend, withdraw, or restrict the availability of all or any part of the Services for business or operational reasons.

4.3 Editorial Focus. Proud American Studios focuses on patriotic, pro‑American content. We reserve the right to determine, in our sole discretion, what content and voices appear on the Services.

5. SUBSCRIPTIONS, PURCHASES, AND BILLING

5.1 Subscriptions and Access. Some content and features are available only through paid subscriptions or one‑time purchases (“Paid Services”). The terms of your subscription or purchase (price, billing interval, included content, trial periods, etc.) will be displayed at checkout or in your account.

5.2 Payment Methods. Payments are processed by third‑party providers (such as Stripe, PayPal, app stores, or integrated commerce platforms). By providing a payment method, you authorize the applicable provider to charge all applicable fees and taxes.

5.3 Automatic Renewal. If you purchase a subscription, it may renew automatically at the end of each billing period at the then‑current price, unless you cancel before the renewal date. You can manage or cancel your subscription through your account or the platform where you purchased it.

5.4 Refunds. Refunds, if any, will be provided according to our Payment and Refund Policy or any specific terms shown at the time of purchase. Except where required by law or explicitly stated otherwise, all fees are non‑refundable.

5.5 Price Changes. We may change prices or introduce new fees from time to time. Unless otherwise stated, changes will apply to new purchases and renewals after we provide notice in accordance with applicable law.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Content. All content on or through the Services, including videos, audio, images, graphics, logos, text, scripts, software, and design (collectively, “Proud American Content”), is owned by or licensed to Proud American Studios and is protected by copyright, trademark, and other intellectual‑property laws.

6.2 Limited License to You. Subject to your compliance with these Terms and applicable payment obligations, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and view Proud American Content for your personal, non‑commercial use only.

6.3 Restrictions. You may not:

• Download, copy, reproduce, record, redistribute, publish, or publicly display Proud American Content except as expressly permitted.

• Modify, translate, adapt, or create derivative works based on Proud American Content.

• Use any data mining, scraping, or similar tools to collect or copy content.

• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.

6.4 Trademarks. “Proud American Studios” and any associated logos or marks are trademarks or service marks of Proud American Studios LLC. You may not use our marks without our prior written consent.

6.5 User‑Generated Content. If you post or upload any content to the Services (comments, posts, profile content, media, etc.) you retain ownership of your content, but you grant Proud American Studios a non‑exclusive, worldwide, royalty‑free license to use, display, reproduce, modify, and distribute that content as necessary to operate the Services and as otherwise described in our Community Guidelines and other applicable terms.

7. USER CONDUCT AND COMMUNITY RULES

7.1 Standards of Conduct. When using the Services, you agree to:

• Comply with all applicable laws and these Terms.

• Respect other members and avoid harassment, abuse, or hate speech.

• Follow our Community Guidelines and any additional rules posted in specific areas of the Services.

7.2 Prohibited Activities. You may not, directly or indirectly:

• Use the Services for any unlawful, fraudulent, or harmful purpose.

• Post or share content that is defamatory, obscene, threatening, invasive of privacy, or otherwise objectionable.

• Promote extremism, terrorism, or advocacy of violence.

• Impersonate any person or entity, or misrepresent your affiliation.

• Attempt to gain unauthorized access to the Services, accounts, or computer systems.

• Interfere with or disrupt the operation of the Services or the experience of other users.

7.3 Enforcement. We may, in our sole discretion, remove or restrict content, suspend or terminate accounts, and take any other action we deem appropriate to protect the Services and our community.

8. SUBMISSIONS AND CREATIVE MATERIALS

Any trailers, films, documentaries, scripts, concepts, or other creative materials you submit to Proud American Studios for review or consideration are governed by our separate Submission Release and Website Terms, which you must accept before submitting. Those terms include important provisions regarding ownership, compensation, similarity of ideas, and release of claims.

Nothing in these Terms alters or limits the Submission Release; in the event of any conflict, the Submission Release governs submissions.

9. THIRD‑PARTY SERVICES AND LINKS

The Services may include or link to third‑party websites, apps, platforms, or services (including payment processors, streaming apps, social networks, and tools operated by third‑party providers). Those third parties are independent from Proud American Studios and have their own terms and privacy policies.

We are not responsible for the content, policies, or practices of third‑party services, and your use of them is at your own risk.

10. DISCLAIMERS

10.1 No Professional Advice. The Services may include commentary on news, politics, security, law, finance, or other topics. All content is provided for informational and entertainment purposes only and does not constitute legal, financial, medical, security, or other professional advice. You should consult qualified professionals before relying on any information for specific decisions.

10.2 As‑Is Basis. The Services and all content are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied. Without limiting the foregoing, we disclaim any warranties of merchantability, fitness for a particular purpose, title, and non‑infringement, and any warranties arising from course of dealing or usage of trade.

10.3 No Guarantee of Results. We do not guarantee that any particular content will remain available or that your use of the Services will produce any particular outcome, benefit, or result.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• Proud American Studios, its owners, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenues, data, or goodwill arising out of or relating to your use or inability to use the Services.

• Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to us for the Services in the six (6) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow limitations of certain damages or liability, so some of the above limitations may not apply to you.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Proud American Studios and its owners, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your access to or use of the Services;

• Your violation of these Terms or any other applicable policy;

• Your violation of any law or third‑party rights; or

• Any content or materials you submit, post, or share through the Services.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law. These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict‑of‑laws rules.

13.2 Venue and Jurisdiction. You agree that the exclusive jurisdiction and venue for any legal action or proceeding arising out of or relating to these Terms or the Services shall be the state and federal courts located in the State of Florida, and you consent to the personal jurisdiction of those courts.

13.3 Time Limit to Bring Claims. Any claim you may have arising out of or relating to the Services or these Terms must be brought within one (1) year after the claim arose, or be permanently barred, to the extent permitted by law.

(If you later decide to use mandatory arbitration or a different dispute‑resolution mechanism, this section can be updated or supplemented accordingly.)

14. CHANGES TO THE SERVICES AND TERMS

14.1 Changes to the Services. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

14.2 Changes to the Terms. We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page and may provide additional notice where required by law. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

15. TERMINATION

You may stop using the Services at any time, and you may close your account where that option is available. We may suspend or terminate your access to the Services or your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law.

Upon termination, the rights and licenses granted to you under these Terms will immediately cease, but sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will remain in effect.

16. MISCELLANEOUS

• Entire Agreement. These Terms, together with the policies and additional terms referenced in them, constitute the entire agreement between you and Proud American Studios regarding the Services and supersede any prior agreements or understandings.

• Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

• No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

• Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction in connection with a merger, acquisition, or sale of assets or by operation of law.
