SUBMISSION RELEASE AND WEBSITE TERMS

By checking “I Agree” and submitting any material through this site, you acknowledge that you have read, understood, and agree to be bound by this Submission Release and Website Terms Agreement (the “Agreement”) with Proud American Studios LLC (“PAS”), located at 2202 N. West Shore Blvd, Suite 200, Tampa, FL 33607, USA.

1. Voluntary Submission; No Obligation

You understand that your submission of any trailer, teaser, sizzle reel, short, feature, documentary, script, logline, artwork, or related materials (collectively, the “Submission”) is entirely voluntary and unsolicited. PAS is under no obligation to review, respond to, acquire, license, finance, produce, distribute, or otherwise use the Submission.

No compensation of any kind is owed or will become due to you for PAS’s receipt, review, consideration, or non‑use of the Submission unless and until you and PAS sign a separate written agreement expressly providing for such compensation.

2. No Fiduciary Relationship or Implied Agreement

You acknowledge that no confidential, fiduciary, partnership, employment, joint‑venture, agency, or other special relationship is created or implied between you and PAS by reason of this Agreement, your Submission, or any review or discussion of it.

You understand and agree that PAS may already be developing, or may in the future independently develop, materials that are similar to or competitive with the Submission in theme, subject, idea, or expression. You waive any claim that PAS “stole,” misappropriated, or otherwise used your ideas based solely on any similarity between the Submission and any existing or future PAS projects.

3. Ownership; Representations and Warranties

You represent and warrant that:

  • You are the sole owner and author of the Submission, or you have full authority from all owners and authors to submit the Submission and to grant the rights set forth in this Agreement.

  • All music, footage, images, narration, performances, and other third‑party materials contained in the Submission are fully cleared for the uses contemplated herein.

  • The Submission does not infringe or violate any copyright, trademark, trade secret, privacy, publicity, contract, or other rights of any person or entity.

  • There are no existing agreements, restrictions, or claims that conflict with or would be breached by this submission or the rights granted to PAS under this Agreement.

If more than one person or entity owns or controls rights in the Submission, you represent that all such owners have authorized you to submit the Submission and that PAS may rely solely on your agreement to these terms.

4. Limited License for Review

You grant PAS a non‑exclusive, royalty‑free, worldwide license to download, reproduce, display, internally share, store, and digitally transmit the Submission solely for the purpose of evaluating it and considering whether PAS wishes to enter into a separate agreement with you.

This limited license automatically terminates if PAS notifies you that it has rejected the Submission or if you and PAS enter into a separate written agreement governing future use of the Submission, except that PAS may retain archive copies for legal and record‑keeping purposes.

5. No Endorsement, Offer, or Commitment

Acceptance of the Submission does not constitute any promise, commitment, or obligation by PAS to develop, produce, finance, distribute, promote, or otherwise use the Submission or to enter into any further relationship with you.

Any future relationship between you and PAS, including any obligation to pay compensation, must be set forth in a separate written contract signed by both you and an authorized representative of PAS.

6. Patriotic Values Acknowledgment

PAS focuses on content for a patriotic, pro‑American audience. You represent that, to your knowledge, the Submission:

  • Is intended for a patriotic, pro‑American audience; and

  • Does not knowingly promote foreign propaganda, extremism, terrorism, or material hostile to the United States Constitution or the national security interests of the United States.

PAS reserves the right, in its sole discretion, to reject, remove, or cease reviewing any Submission that it deems inconsistent with these values, with applicable law, or with PAS’s brand, editorial judgment, or standards.

7. Website Disclaimer and Submission Portal Terms

You understand and agree that:

  • This submission portal is provided for informational and submission purposes only and does not constitute an offer or agreement by PAS to produce, finance, or distribute your work.

  • PAS assumes no liability for the content submitted by users, and you submit your materials entirely at your own risk.

  • PAS does not promise or guarantee that it will read, review, or respond to any Submission and may reject or delete submissions at any time, with or without notice.

PAS is not responsible for any loss, corruption, damage, or unauthorized access to any materials transmitted through this site.

8. Confidentiality

PAS will use reasonable efforts to restrict internal access to the Submission to personnel, advisors, and potential partners who need to evaluate it; however, PAS does not agree to treat the Submission as confidential.

PAS is not responsible for any unauthorized disclosure or use of the Submission by third parties, including those who may gain access through no fault of PAS. If you desire legal protection for your Submission (such as copyright registration or WGA registration), you are solely responsible for obtaining that protection before submitting.

9. Irrevocability of Submission

Your Submission is voluntarily given and, as to materials already received and used in accordance with this Agreement, cannot be revoked. You may request in writing that PAS cease further review, in which case PAS will use reasonable efforts to stop active evaluation, but PAS may retain archival copies and may continue to rely on this Agreement with respect to any prior use.

10. Indemnification and Release of Liability

You agree to indemnify, defend, and hold harmless PAS and its owners, members, officers, employees, contractors, licensees, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your Submission;

  • Any breach or alleged breach of your representations, warranties, or obligations under this Agreement; or

  • Your violation of any third‑party rights in connection with the Submission.

To the fullest extent permitted by law, you release PAS from any and all claims you may now or hereafter have in connection with the Submission, including without limitation claims for idea theft, implied contract, breach of confidence, or infringement, except to the extent arising under a later, separately negotiated written agreement signed by you and PAS.

11. Age and Authority

You represent that you are at least 18 years of age and have full legal capacity to enter into this Agreement. If you submit on behalf of a company or other entity, you represent that you are duly authorized to bind that entity, and all references to “you” in this Agreement include that entity.

12. Governing Law; Venue

This Agreement, and any dispute arising out of or relating to this Agreement or the Submission, will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict‑of‑laws rules.

You agree that the exclusive jurisdiction and venue for any action arising out of or relating to this Agreement shall lie in the state and federal courts located in the State of Florida, and you hereby consent to the personal jurisdiction of such courts.

(If you intend to use mandatory arbitration or additional dispute‑resolution terms, those provisions should be added and customized by Florida counsel.)

13. Electronic Acceptance; Entire Agreement

You agree that your electronic signature, click on “I Agree,” or other electronic indication of acceptance has the same legal effect as a handwritten signature.

This Agreement constitutes the entire understanding between you and PAS regarding the Submission and supersedes all prior or contemporaneous communications, understandings, or agreements concerning the Submission. No modification of this Agreement will be valid unless in writing and signed (including electronically) by both you and PAS.
