This Casting & Submission Release (“Release”) is a binding agreement between you (“Applicant” or “you”) and Proud American Studios LLC (“Proud American Studios,” “PAS,” “we,” “us,” or “our”), 2202 N. West Shore Blvd, Suite 200, Tampa, FL 33607, USA.

By submitting a casting application, video, photo, story, or any related materials (collectively, the “Casting Materials”) for the Proud American Studios micro‑series or any other project (collectively, the “Program”), you acknowledge that you have read, understood, and agree to be bound by this Release.

1. MEMBERSHIP CONDITION; NO “PAY TO AUDITION”

1.1 Members‑Only Eligibility. Participation in this casting process is currently limited to active members of the Proud American Studios community. You understand that membership is a separate product with its own terms and pricing.

1.2 Not Pay‑to‑Audition. Any membership fees are paid for access to the Proud American Studios community and content, not as a fee to audition. Your decision to join or remain a member does not guarantee that you will be selected for the Program, receive an audition, or obtain any role, job, or compensation.

2. VOLUNTARY SUBMISSION; NO OBLIGATION TO CAST OR CONTACT

2.1 Voluntary Submission. Your Casting Materials are submitted voluntarily and unsolicited. Proud American Studios is under no obligation to consider, review, or use your Casting Materials.

2.2 No Promise of Work or Further Audition. Nothing in this Release or on the Services:

• Guarantees that you will be invited to a callback, interview, or further audition.

• Guarantees that you will be cast in any Program or hired for any role.

• Creates any obligation for Proud American Studios to contact you about your submission.

Any casting decision is at the sole discretion of Proud American Studios, and may be changed or cancelled at any time.

2.3 No Further Commitment by PAS. Apart from honoring your existing membership rights under our standard membership terms, Proud American Studios makes no additional commitment or obligation to you as a result of this casting application.

3. NO FIDUCIARY RELATIONSHIP; NO COMPENSATION

3.1 No Special Relationship. You acknowledge that your submission and any communications related to it do not create a confidential, fiduciary, employment, joint‑venture, agency, or partnership relationship between you and Proud American Studios.

3.2 No Compensation for Submission. You understand that:

• You are not entitled to any compensation or reimbursement for submitting Casting Materials or participating in this casting process.

• Unless and until you sign a separate written agreement with Proud American Studios (for example, a performer or contributor agreement), Proud American Studios has no obligation to pay you any fees, residuals, expenses, or other compensation.

4. OWNERSHIP, LICENSE, AND USE OF CASTING MATERIALS

4.1 Your Representations of Ownership. You represent and warrant that:

• You are the sole owner of, or have obtained all necessary rights and permissions to submit, the Casting Materials.

• The Casting Materials do not infringe any copyright, trademark, privacy, publicity, or other rights of any person or entity.

• Any individuals appearing in the Casting Materials have consented to their appearance and to the uses described in this Release.

4.2 License to Proud American Studios. In consideration of being reviewed for possible participation in the Program, you grant Proud American Studios a non‑exclusive, worldwide, royalty‑free, fully sublicensable and transferable license to:

• Use, copy, display, perform, edit, adapt, modify, and otherwise exploit the Casting Materials, in whole or in part; and

• Use your name, likeness, voice, biographical information, and statements in connection with the Casting Materials,

for the purposes of:

• Evaluating your suitability for the Program or any other Proud American Studios project; and

• Promoting Proud American Studios, its Programs, and community (including in marketing, trailers, reels, social media, advertisements, and behind‑the‑scenes content).

4.3 Marketing Use; Opt‑Out. Proud American Studios may use your Casting Materials in future marketing or promotional content without additional approval or payment. If you do not wish your Casting Materials to be used in marketing after the casting process is complete, you must send a written request to [email protected] clearly identifying yourself and your submission. We will honor reasonable requests going forward, but cannot un‑publish or recall materials already used in completed campaigns or content.

4.4 No Obligation to Use. Proud American Studios has no obligation to use your Casting Materials in any Program, marketing, or other content, and may decide, in its sole discretion, to delete them or retain them in its archives.

5. INDEPENDENT DEVELOPMENT; SIMILARITY OF IDEAS

You acknowledge and agree that:

• Proud American Studios may already be developing, or may later independently develop, content, characters, or storylines similar to your Casting Materials or your real‑world experiences.

• You will not be entitled to any compensation or claim against Proud American Studios based solely on any similarity between your Casting Materials and any existing or future Proud American Studios content or projects, unless you and Proud American Studios later sign a separate written agreement that expressly provides otherwise.

6. IRREVOCABILITY OF SUBMISSION

Once submitted, your Casting Materials cannot be “un‑seen” and this Release cannot be revoked with respect to any uses already made in accordance with its terms.

You may, at any time, send a written request asking Proud American Studios to stop further review of your Casting Materials and, where reasonably practicable, to stop using them in future marketing. This will not affect any use already made, or any archival retention required for legal or business reasons.

7. RELEASE OF CLAIMS; INDEMNITY

7.1 Release. To the fullest extent permitted by law, you release Proud American Studios and its owners, officers, employees, contractors, licensees, and affiliates from any and all claims, demands, and causes of action that you may now or hereafter have arising out of or relating to:

• Your submission and participation (or non‑participation) in the casting process;

• Any use or non‑use of the Casting Materials in accordance with this Release; or

• Any similarity between the Casting Materials and any Proud American Studios content.

7.2 Indemnity. You agree to indemnify, defend, and hold harmless Proud American Studios and its affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

• Your breach of this Release; or

• Any claim that the Casting Materials violate or infringe the rights of any third party.

8. AGE AND AUTHORITY

You represent that you are at least 18 years old and have full legal capacity to enter into this Release. If you submit on behalf of another person (for example, as a parent or legal guardian), you represent that you have full authority to do so and to grant the rights described here on their behalf.

9. GOVERNING LAW; VENUE

This Release and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict‑of‑laws rules.

You agree that the exclusive jurisdiction and venue for any legal action or proceeding arising out of or relating to this Release shall be the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of those courts.

10. ENTIRE AGREEMENT; ELECTRONIC ACCEPTANCE

This Release constitutes the entire understanding between you and Proud American Studios regarding your casting submission for the Program and supersedes all prior or contemporaneous communications on this subject.

By checking any box labeled “I Agree,” “I Accept,” or similar, and by clicking “Submit,” you acknowledge that:

• You have read and understood this Release;

• You agree to be legally bound by it; and

• Your electronic acceptance has the same effect as a handwritten signature.
